1. Introduction:

Welcome to PH Course Consulting (referred to as "we," "us," or "our"). These terms and conditions govern your use of our consulting and marketing services for promoting online courses. By engaging our services, you agree to be bound by these terms and conditions. If you do not agree with any part of these terms, please refrain from using our services.

2. Scope:

These General Terms and Conditions (GTC) apply to all orders placed through our online shop. Our online shop is intended solely for consumers. A consumer is any natural person who enters into a legal transaction for purposes that can predominantly be attributed neither to their commercial nor their self-employed professional activity. An entrepreneur is a natural or legal person or a partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of their commercial or self-employed professional activity.

3. Contracting Parties, Conclusion of Contract, Correction Options:

The purchase contract is concluded with PH Course Consulting. By placing the products in the online shop, we make a binding offer to conclude a contract for these items. You can initially place our products in the shopping cart without obligation and correct your entries at any time before submitting your binding order by using the correction aids provided and explained for this purpose during the order process. The contract is concluded by clicking on the order button to accept the offer for the goods contained in the shopping cart. Immediately after sending the order, you will receive a confirmation by email.

4. Payment:

In our shop, you can generally use the following payment methods: Credit card, Debit card and Paypal. During the ordering process, you will enter your credit or debit card data. Your card will be charged immediately after placing the order. PayPal To pay the invoice amount via the payment service provider PayPal (Europe) S.à r.l. et Cie, S.C.A, 22-24 Boulevard Royal, L-2449 Luxembourg ("PayPal"), you must be registered with PayPal, authenticate yourself with your access data and confirm the payment instruction. The payment transaction will be carried out by PayPal immediately after the order is placed. Further information will be provided during the ordering process. PayPal may offer additional payment methods to registered and selected PayPal customers in their PayPal account. However, we have no influence on the availability of these methods; any individually offered payment methods concern your legal relationship with PayPal. 5. Warranty, Guarantees and Refunds:

5.1 Statutory Liability for Defects

The statutory liability for defects applies.

5.2 Guarantees and Customer Service

Information on any applicable additional guarantees and their exact conditions can be found with each product and on special information pages in the online shop. We are not liable for any courses or accounts that may be banned or suspended, as these actions are beyond our control and influence. Clients understand and agree that any repercussions related to course or account bans are not the responsibility of PH Course Consulting, as this could've happened because a mistake of the customer or other reasons as Udemy bans courses quick. 

5.3 Refunds
If you've booked and paid for our services on our website and later choose to request a refund, a $60 - $100 or higher fee will be deducted. This fee accounts for the templates and materials you've already received.

6. Dispute Resolution:

The European Commission provides a platform for online dispute resolution (OS) which you can find here. We are not obliged or willing to participate in a dispute resolution procedure before a consumer arbitration board.

7. Services Provided:

7.1 Consulting and Marketing: We provide consulting services and marketing strategies to promote online courses on behalf of our clients. Our strategies may include, but are not limited to, content creation, social media promotion, email marketing, and online advertising. Keep in mind, niche courses may not hit 3000 enrollments. However, in these specialized areas, even fewer students can significantly uplift course rankings and boost visibility, given the lower competition. Through our promotional efforts, we've observed an organic influx of over 20 reviews per course each month, without any influence from us. We fully adhere to Udemy policies, ensuring we neither request nor compel students to leave reviews. While we cannot control negative reviews during our coupon promotions, we maintain a commitment to ethical practices.

7.2 Templates and Information: As part of our services, we may provide clients with templates and informational materials related to course promotion. These materials are intended for informational purposes only and should not be considered as legal, financial, or professional advice.

7.3 Monitoring Udemy Enrollments: Clients are responsible for actively monitoring their course enrollments on Udemy. Should they observe any discrepancies or reduced enrollment numbers, it is imperative to inform us promptly, given that we do not have direct access to individual Udemy profiles or settings. Please note that not all courses, particularly those of a specialized nature, are expected to achieve the full 3,000 enrollments. However, this should not be a cause for concern as such courses will still maintain competitive positioning within the Udemy algorithm and are anticipated to experience incremental ranking improvements over time. We remain dedicated to optimizing course promotions, and we appreciate our clients' cooperation and understanding in this regard.

8. Client Obligations:

8.1 Ownership and Rights: Clients retain full ownership and intellectual property rights to their online courses and related materials. We do not claim ownership or seek to gain access to any of the instructor's accounts.

8.2 Payment: Clients agree to pay the fees as specified in our proposal or agreement. Payment terms and methods will be outlined in the proposal.

8.3 Course Promotion: Upon receipt of payment, we will begin promoting the client's course based on the agreed-upon marketing strategy. Please note that while we will make every effort to maximize course visibility and engagement, we cannot guarantee specific results or outcomes.

9. Limitation of Liability:

9.1 No Guarantee: While we strive to achieve optimal results through our marketing efforts, we do not guarantee specific course enrollments, sales, or any specific outcome related to course promotion.

9.2 Third-Party Platforms: We may use third-party platforms, tools, or services for course promotion. We are not liable for any issues or limitations arising from the use of these third-party services.

10. Confidentiality:

10.1 Confidential Information: We will treat all client information, including course content and marketing strategies, as confidential and will not disclose it to third parties without the client's consent.

11. Termination:

11.1 Termination by Client: Clients may terminate our services at any time by providing written notice.

11.2 Termination by PH Course Consulting.: We reserve the right to terminate our services to a client if we believe that continued engagement may violate any laws, regulations, or our ethical standards.

12. Governing Law:

These terms and conditions shall be governed by and construed in accordance with the laws of Germany, without regard to its conflicts of law principles.
